Your agreement with Honest Comply is this Master Services Agreement together with our Terms of Service, our Business Associate Agreement, and the Audit-Ready Guarantee (Assurance) terms, each linked below and incorporated here. Scope of services

Honest Comply configures your account and delivers a done-for-you HIPAA program: your policy stack, Business Associate Agreements for your covered vendors, an annual Security Risk Analysis, workforce training, and an on-demand Audit Pack, together with an Annual Compliance Review every twelve months (the periodic evaluation under 45 CFR §164.308(a)(8), which re-runs the Risk Analysis and refreshes your policies, Audit Pack, workforce recertification, and state addenda). We assign and deliver the training; you keep an accurate, complete, active staff roster and ensure your workforce completes it. The full shared-responsibility allocation is in our Terms of Service.

The Audit-Ready Guarantee (Assurance)

A limited, prorated refund of the subscription fees you actually paid, capped at twelve months, available only on a documented OCR or HHS finding caused by our material failure, and only if you met your roster and training conditions. It is your sole and exclusive remedy and is not insurance or a guarantee of any audit outcome. The full mechanic is at /guarantee and in the Terms of Service.

Business Associate Agreement (in-line)

Honest Comply executes a Business Associate Agreement with your practice, effective when you complete checkout. The full BAA is at /baa and is incorporated into this agreement.

Fees, term, and termination

Flat monthly subscription, month-to-month, no auto-renewal traps and no cancellation penalty. Termination ends future invoices and ends platform access on the effective date. Compliance documentation and audit logs are retained as described in the Privacy Policy and the BAA.

Liability and governing law

Our liability is limited as set out in the Terms of Service, including a cap on aggregate liability and an exclusion of indirect and consequential damages. These terms are governed by the law of the State of Wyoming. The full, controlling language is in the Terms of Service at /terms.
